SelfServe Affiliate Program
Terms & Conditions
Effective Date: 18 Jun 2025
Program Owner: Grumspot Ltd., 4 Akad. Boris Stefanov St., Studentski District, 1700 Sofia, Bulgaria (“SelfServe,” “we,” “us,” “our”)
1. Definitions
- “Affiliate” – the approved app, agency, influencer, or other entity participating in this Program.
- “Referral Link” – the unique tracking URL we supply through [PartnerStack/UpPromote/other platform].
- “Qualified Merchant” – a Shopify store that (i) installs SelfServe via the Referral Link, (ii) upgrades to a Paid Plan after any free trial, and (iii) remains active and in good standing for at least 30 days.
- “Commission” – the percentage of Net Subscription Revenue (after Shopify’s 30 % platform fee) we pay to the Affiliate for each Qualified Merchant.
2. Enrollment
Submit an application through the Program portal. We may accept or reject any application at our sole discretion and may reconsider previously rejected applications if circumstances change.
3. Affiliate Obligations
- Marketing Standards – All promotional content must be truthful, non-misleading, and comply with:
- Shopify Partner & Acceptable Use Policies,
- Applicable advertising laws and FTC disclosure rules,
- These Terms.
- Prohibited Practices – No spam, coupon/discount sites without written permission, keyword bidding on “SelfServe,” impersonation of SelfServe, or use of fake/refund traffic.
- Brand Usage – You may use our name “SelfServe,” logo, and approved creative only as provided in the Affiliate Dashboard. No modification without consent.
- Compliance – You are responsible for all taxes, registrations, and legal compliance in your jurisdiction.
4. Referral Attribution
- Cookie Window: 60 days from first click.
- Last-click attribution applies; the last valid Referral Link wins the Commission.
- If a merchant already has a SelfServe account, no Commission is payable.
5. Commissions & Payment
We calculate Commissions on the first business day of each month for all Qualified Merchants whose subscription payments cleared in the previous month. Charge-backs or refunds result in Commission reversals.
6. Term & Termination
Either party may terminate this Agreement at any time, with or without cause, on 14 days’ written notice. On termination:
- Pending unpaid Commissions remain payable unless termination was for Affiliate breach.
- Clauses 7–11 survive.
7. Confidentiality
All non-public information (including dashboard data and merchant lists) is confidential. Do not disclose it for 3 years after termination.
8. Intellectual-Property Rights
SelfServe retains all right, title, and interest in its software, trademarks, and marketing assets. Nothing in this Agreement grants ownership to the Affiliate.
9. Disclaimer & Limitation of Liability
SelfServe provides the Program “as-is” and disclaims all warranties, express or implied. Our aggregate liability under this Agreement shall not exceed the total Commissions paid to Affiliate in the six months preceding the claim.
10. Indemnification
Affiliate will indemnify and hold SelfServe, its officers, and employees harmless from any claim arising from Affiliate’s (i) breach of this Agreement, (ii) violation of law, or (iii) misuse of marketing materials.
11. Independent Contractor
The parties are independent contractors. Nothing herein creates a partnership, joint venture, employment, or franchise relationship.
12. Governing Law & Venue
This Agreement is governed by the laws of Bulgaria. Any dispute shall be litigated exclusively in the courts of Sofia, Bulgaria.
13. Amendments
We may update these Terms by posting a new version in the Affiliate Dashboard or emailing Affiliates. Continued participation after the Effective Date of the update constitutes acceptance.
14. Entire Agreement
These Terms constitute the entire agreement between the parties regarding the Program and supersede any prior agreements or understandings (oral or written).
